The Decree No. 90: Regulation on corporate bond issuance
(vasep.com.vn) On 14th October 2011, the Government of Vietnam regulated the Decree No. 90/2011/NĐ-CP on issuing the corporate bonds in the domestic and external markets.The issuing agents in banks, stocks must obey not only the terms in the Decree but also the legal requirements of their sectors.
In case, the legal requirement of their sectors is different from the requirement of the Decree, the issuer must comply with the legal requirement of their sectors.
The issuer releases the bond in order to finance its investment projects, enlarge the size of its business capital and restructure its debt.
The Decree regulates not only the rules of bond issuance, bond types and forms, terms of the bond, types of currency used for bond issuance and payment, bond transfer but also the conditions, interests, methods to issue bonds in local and international market.
The Decree has come into effect since 1st December 2011 which replaces the Decree No. 52/2006/NĐ-CP dated 19th May 2006 by the Government on issuing the corporate bond and the Decree No. 53/2009/NĐ-CP dated 4th June 2009 by the Government on issuing bond in the international market.
